IMPORTANT – PLEASE READ CAREFULLY: This End User Licence Agreement refers to legal agreements (“Agreements”) between you (either (a) an individual user or (b) a business organisation) and OdataLink Pty Ltd relating to the software that accompanies this agreement, which includes computer software and any of its component parts (including without limitation, output charts, images and screen layouts) and may include associated media, printed materials, “online” or electronic documentation (“Software”). BY INSTALLING, COPYING OR OTHERWISE USING THIS SOFTWARE YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE READ, UNDERSTOOD AND WILL COMPLY WITH THE TERMS OF THOSE AGREEMENTS, INCLUDING WITHOUT LIMITATION THOSE TERMS DESCRIBED BELOW.
1. USE OF SOFTWARE
You may use the software for internal management purposes or on behalf of a third party (Client).
OdataLink is provided as series of websites located on the cloud.
These websites include:
- The “OdataLink Admin Portal” (https://app.odatalink.com)
- The “OdataLink OData Feed Portal” (https://data.odatalink.com).
The “OdataLink Admin Portal” (https://app.odatalink.com) is available at all times regardless of the status of your account.
The “OdataLink OData Feed Portal” (https://data.odatalink.com) is available:
- For all data files during the trial period.
- For the licensed data files if your subscription is active, not cancelled and has not been revoked by OdataLink Pty Ltd.
2. TRIAL SOFTWARE
The first account your create after registering for OdataLink will allow you to trial the software for 30 days for Free. This trial starts on the first day you use the software.
Additional accounts you create will not be granted a trial period.
The trial period is designed to allow you to evaluate OdataLink and ensure it meets your requirements. OdataLink Pty Ltd is not liable for any defect found during or after the trial period.
3. SUBSCRIPTION
You must subscribe to use OdataLink after the trial period expires or if no trial period was available.
By subscribing, you are acknowledging that you have evaluated the software and are choosing to use it as is. You are also agreeing to receive emails on product updates and features from OdataLink Pty Ltd and its associated companies.
3.1 FREE EDITION
The Free Edition does not cost any subscription fees and does not expire.
The Free Edition is limited to 1 data file (e.g MYOB company or Xero Organisation), 1 model and 1 user per account.
The Free Edition is also limited to:
- 5 Standard endpoints within the model.
- 0 Premium endpoints within the model.
- retrieving 100,000 records of data per 30-days.
- accepting 500 requests of data per 30-days.
- allowing requests for 10 days each 30-days.
Once any of these limits is reached, OdataLink will become temporarily unavailable. You will need to wait. Alternatively, subscribe to a paid edition to remove this limit.
The Free Edition can only be accessed from a single IP address which will be detected and set each time you login to app.odatalink.com.
You cannot subscribe to the Free Edition more than once.
You cannot subscribe to the Free Edition once you subscribe to a paid edition.
The Free Edition is unsupported. It is provided so as to allow users to learn and experiment. It is not provided with the intention for businesses to create real-world reports, dashboards or solutions. We do not recommend people who want to create serious solutions to subscribe to the Free Edition.
- No support (chat, email or other) will be provided to users on the Free Edition.
- Anyone who received support (chat, email or other) during the trial will not be able to access the Free Edition.
We reserve the rights to change or limit the functionality available in the Free Edition, as well as cancel or revoke access to the Free Edition, at any time, for any reasons and without any notice.
3.2 PAID EDITIONS
Subscription fees are charged each month and are dependent on the number of data files (e.g MYOB company or Xero Organisation) you wish to license.
Your subscription will start on the day you subscribe and will automatically renew and charge the subscription fees on the same day each month.
You cannot subscribe to the Free Edition once you subscribe to a paid edition.
3.3 LICENSED DATA FILES
When subscribing, you will need to choose the number of data files (e.g MYOB company or Xero Organisation) you wish to license.
Once subscribed, you will need to assign your data file licenses to specific data files. Only licensed data files can be accessed via the OdataLink OData Feed Portal (https://data.odatalink.com).
You may reassign a data file license to another data file, but only if you have not used the licensed data file during the current billing month.
You may update your subscription and the number of data files licensed at any time.
When increasing the number of data files in your subscription, you will be charged a pro-rata invoice for the additional time remaining in the current billing month to license the additional data files to the end of the current month billing.
When decreasing the number of data files in your subscription, you will be able to use all currently licensed data files until the end of the current billing month. No refunds will be issued when decreasing the number of data files in your subscription.
3.4 USERS
Paid editions can have an unlimited number of users at no additional cost.
3.5 . CANCELLATIONS
You may cancel your subscription at any time. Upon receiving a cancellation notice all future invoices or automatic payments relating to that subscription will be stopped.
Once cancelled, you will be able to use the OdataLink OData Feed portal (https://data.odatalink.com) until the end of the current billing month.
You will not be able to use the OdataLink OData Feed portal (https://data.odatalink.com) after the end of the current billing month.
3.6 . REFUNDS
There are no refunds on invoices or automatic payments already issued. Any open invoices already sent and open will be payable.
3.7 . REVOKED SUBSCRIPTION
OdataLink Pty Ltd reserves the right to revoke your subscription at any time and for any reason.
Subscriptions that are revoked are also considered cancelled.
4. SUPPORT
Email and live chat support is available during the trial period and during paid subscription.
The Free Edition does not include any support.
One-on-one personal support is available for both paid subscription and the free edition and is chargeable in 1/4 hour blocks. Support time can be purchased in advance.
5. DELIVERY
The software is provided as a cloud platform and requires internet access.
6. COPIES, MODIFICATIONS AND REVERSE ENGINEERING
You or a third party are NOT PERMITTED to: copy or modify the Software or merge all or any part of the Software without OdataLink Pty Ltd’s prior written consent; reverse engineer, reverse assemble or reverse compile the Software.
7. PRIVACY
We at OdataLink Pty Ltd its associated companies treat personal information provided to us as confidential and comply with the National Privacy Principles contained in the Privacy Act 1988.
In addition, for customers located in the EU or UK, OdataLink Pty Ltd adheres to those jurisdictions relevant General Data Protection Regulation where the customer acts as Controller and OdataLink acts as Processor. For more information, refer to the OdataLink Data Processing Agreement Addendum (GDPR).

7.1 COLLECTIONS
You agree that OdataLink Pty Ltd, its associated companies and its affiliates may collect and store data and personal information so that we can serve our customers. This information is collected when using our services, software or website.
The information collected includes your name, phone number, email address, as well as information relating to the products you use and the challenges you face with those products. In order to providing support, consulting and custom development services we may request read only access to your data file/s. It will be up to you to agree to and provide that access to us.
7.2 DISCLOSURE
We may disclose your personal information:
- to our employees and contractors for the purpose of providing services to your business;
- where the law requires us to do so;
- to any third parties where you consent us to do so.
7.3 USE OF PERSONAL INFORMATION
OdataLink Pty Ltd and its associated companies may use this information solely to improve its products or to provide customised services or technologies to you and will not disclose this information in a form that personally identifies you except as specified.
7.4 SECURITY
We understand that security of personal information is paramount and endeavour to take all reasonable steps to ensure that the personal information we hold is not subject to loss, misuse or unauthorised access or alteration.
8. RESERVATION OF RIGHTS AND OWNERSHIP
The Software is protected by copyright and other intellectual property laws and treaties. OdataLink Pty Ltd and its associated companies own the title, copyright, and other intellectual property rights in the Software. The Software is licensed, not sold. The Agreements do not grant you any rights to trademarks or service marks of OdataLink Pty Ltd and/or its associated companies.
9. INTELLECTUAL PROPERTY
The Software is protected by copyright and other intellectual property laws and treaties. All intellectual property rights in the Software are owned by OdataLink Pty Ltd and nothing in the Agreements has the effect of transferring ownership of any intellectual property rights from that company to you. All intellectual property rights in permitted modifications to the Software vest in OdataLink Pty Ltd on their creation and if requested by OdataLink Pty Ltd to do so, you must execute all such documents and perform all such other acts as are necessary to give effect to this clause. You must take reasonable safeguards to protect OdataLink Pty Ltd’s intellectual property including (but not limited to), protection from inappropriate use or copying by any means.
10. TERMINATION
Without prejudice to any other rights, OdataLink Pty Ltd may, terminate the Agreements (as appropriate) if you fail to comply with terms and conditions of the Agreements.
11. DISCLAIMER OF WARRANTIES AS TO PERFORMANCE
The Software is designed to provide access to data stored in your Accounting Programs data file(s). However OdataLink Pty Ltd makes no warranty as to the accuracy or integrity of the information obtained by using the Software. OdataLink Pty Ltd disclaims any implication or inference that the data obtained by using the Software will meet your requirements or that the operation of the Software will be interruption or error free. It is your responsibility to monitor and check all data extracted. CONSEQUENTLY, NO WARRANTY IS MADE REGARDING THE PERFORMANCE OF THE SOFTWARE OR THE RESULTS THAT MAY BE OBTAINED BY USING THE SOFTWARE. THE ENTIRE RISK AS TO THE INSTALLATION, USE, QUALITY, AND PERFORMANCE OF THE SOFTWARE RESIDES WITH THE USER.
12. LIMITATION OF LIABILITY
IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY DAMAGES, INCLUDING LOST PROFITS OR DATA, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE OR ANY DATA SUPPLIED THEREWITH, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.
Some jurisdictions do not allow the exclusion or limitation of implied warranties or of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. This warranty gives you specific legal rights and you may also have other rights that vary from state to state. In the event that any of the above limitations or exclusions are held to be unenforceable, the Publisher’s total liability shall not exceed the amount of the licence fee you paid.
13. AMENDMENTS AND MODIFICATIONS
OdataLink Pty Ltd reserves the right to change this End-User License Agreement at any time.

OdataLink uses the following third-party software fonts.
